Terms of use and sale
Version of 25 October 2026.
In force on 25 October 2026 for any new subscription; for existing Customers, on 24 November 2026.
Article 1 — Purpose
These terms (the “Terms”) govern access to and use of the NAVAGE service (the “Service”), published by SIDRA SOLUTIONS (the “Publisher”). The Service lets a customer add to its website or web application an assistant that guides visitors, takes them to the right page, answers their questions from the site’s content and can walk them step by step through a task.
The Terms are intended for professionals. Any sign-up, any order and any continued use of the Service mean unreserved acceptance of the Terms in force.
Article 2 — Definitions
- Customer: the person, acting in a professional capacity, who opens an account or orders the Service.
- Site: the Customer’s website or web application on which the Assistant is installed.
- Visitor: any person using the Site.
- Assistant: the NAVAGE assistant as displayed to Visitors.
- Preparation: the analysis of the Site that lets the Assistant know its pages, flows and content.
- Assisted session: a period during which a Visitor uses the Assistant.
- Classic mode: the way the Assistant works when it answers, cites the source and takes the Visitor to the relevant page or section.
- Flow: the Assistant mode, chosen by the Visitor, that presents a task step by step in a NAVAGE screen displayed over the Site.
- Console: the online space where the Customer manages its Sites and reads its reports.
- Plan: the offer subscribed by the Customer — Discovery, Standard, Premium or Enterprise.
Article 3 — Account
The Customer provides accurate information and keeps it up to date. It keeps its credentials confidential and is responsible for any use of its account. It informs the Publisher without delay of any unauthorised use.
Sign-up requires accepting the Terms and the privacy policy. The accepted version and the date of acceptance are recorded. When a new version comes into force, the Customer accepts it at its next sign-in to keep using the Console.
Article 4 — Plans
The content, included volumes and prices of each Plan are those described on the navage.ai pricing page on the day of subscription. That description is part of the Terms.
- Discovery is free, for one site. The first Preparation is included; further Preparations are charged at the current rate. When the included volumes are reached, the Publisher may restrict some features until the start of the next period; the Assistant is not cut off and the Customer is informed.
- Standard and Premium are paid subscriptions. No overage is charged and no change of Plan is imposed. When the included monthly volume is reached, the Assistant tells Visitors, with a courteous message, that it is temporarily unavailable, until the start of the next period. The Customer is informed; it is alerted in the Console from 80% of the included volume, and may move to a higher Plan at any time.
- Enterprise is subject to a specific proposal and contract, which prevail over the Terms in case of conflict.
Article 5 — Setup
The Customer adds a line of code supplied by the Publisher to its Site. No other development is required on its part.
The Publisher performs the Preparation. To do so, it reads the structure and the displayed text of the Site’s pages — headings, labels, links, forms, tables — in order to build the flows. The Preparation does not cover the values typed into fields, and no screenshot is taken. Pages reachable after sign-in are prepared with a test account provided by the Customer, or through the Customer’s own browsing (capture). For a capture, the Customer opens its Site from a Console link valid for one hour: each screen it visits is described (structure and displayed text, not the values typed in) and sent to the Publisher. In automatic visits, only links that display a page are followed, not those that trigger an action. The Customer can stop the capture at any time. When a Preparation does not reach the required level of reliability, the Publisher may activate only the answers, or not activate the Assistant. It informs the Customer. The Publisher prefers to display nothing rather than display false information.
Article 6 — What the Assistant does, and what it does not
The Assistant only offers pages and elements that exist on the Site. It answers only from the Site’s content and the content the Customer adds in the Console, and cites the source. When it does not have the information, it says so.
In classic mode, the Assistant answers and takes the Visitor to the relevant page or section. If the Visitor chooses, the Assistant can open a page or a menu itself.
In Flow mode, chosen by the Visitor, the Assistant presents the task step by step in a NAVAGE screen displayed over the Site. The information the Visitor enters there stays in their browser and is copied into the Site’s form; the Site receives it when the form is sent. The Publisher sends it neither to its servers nor to the artificial intelligence model provider. Before sending, the Assistant shows a summary.
An action that commits the Visitor, such as sending a form, only happens when the Visitor clicks. The Assistant takes no screenshots.
If the Customer activates it, the Assistant may offer the Visitor to send a request to the Customer’s support tool. When the Visitor clicks, the Publisher creates this request in the Customer’s tool, with the Site, the screen, the current flow and step, the last question asked to the Assistant, after automatic masking, and the Visitor’s e-mail if they give it. The values typed into the Site’s fields are not part of it. The Publisher does not keep this e-mail.
If the Customer activates it, the Publisher makes the validated flows and contents of the Site’s public pages available, read only, to third-party artificial intelligence agents: steps, titles, texts and links. They are accessible to any agent that requests them with the Site’s public identifier. No Visitor data is transmitted. The Customer can turn this function off at any time.
The Customer alone is responsible for the content of its Site, its accuracy and its lawfulness, and for the information its Site receives through its forms, including when it was entered in Flow mode. The Publisher does not guarantee the accuracy of the Site content the Assistant relays.
The Assistant can make mistakes. Its answers are not regulated professional advice, in particular legal, medical, financial or tax advice, and must not be used as such without human oversight.
Article 7 — Prices and payment
Subscriptions are taken out in euros or US dollars, excluding taxes.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle collects the payment, calculates and collects the applicable taxes and issues the invoice; its buyer terms apply to the payment. The currency, the amount and the taxes are shown before the payment is confirmed; the Customer’s bank may apply currency conversion fees. Paddle collects the payment data itself; the Publisher does not receive it and stores no card data.
The subscription currency is set at the first payment and does not change while the subscription is active. For the Enterprise Plan, the currency and the invoicing method are set in the contract.
Subscriptions are payable in advance, every month or every year, and renew automatically until they are terminated.
The subscription is active as soon as it is paid.
Withdrawal: the right of withdrawal does not apply to a Customer acting in a professional capacity. Where the law grants it to the Customer, the Customer may withdraw within 14 days of the first payment of its subscription, monthly or annual; renewals do not open a new period. The Publisher then refunds the unused part of the paid period, pro rata by day, the day of the request counting as used: for a 30-day month paid on the 1st, a withdrawal on the 10th entitles the Customer to a refund of 20/30 of the price. A Plan change paid during that period is refunded pro rata for its remaining period. Withdrawal ends the subscription and the account moves to the Discovery Plan. It is possible only once per account. The request is made on paddle.net or by writing to contact@navage.ai, under the refund policy published on navage.ai.
Otherwise, termination takes effect at the end of the paid period, without a refund of that period.
A preparation bought on its own and not used is refunded on request at contact@navage.ai.
The Publisher may change its prices. Any increase is notified to the Customer at least 30 days before it takes effect. The Customer may then terminate before that date.
Article 8 — Term and termination
- Discovery: no fixed term; the Customer may close its account at any time.
- Monthly subscription: renewed every month; can be terminated at any time, effective at the end of the current month.
- Annual subscription: renewed every year; can be terminated at any time, effective at the end of the current year.
- Withdrawal: where the law grants it, within 14 days of the first payment, under Article 7; the subscription ends at once and the account moves to the Discovery Plan, under the conditions described in the “Payment failure” item.
- End of subscription: at the end of a subscription that is not renewed, the account moves to the Discovery Plan, under the conditions described in the next item.
- Payment failure: if a payment fails, the Customer is reminded on the same day, then 3 and 6 days later. Without settlement 8 days after the failure, its account moves to the Discovery Plan. Only one Site remains fully active: the one the Customer chooses, or failing that the oldest. On the other Sites, the Assistant stays installed and tells Visitors, with a courteous message, that it is temporarily unavailable, until a subscription resumes. History beyond 7 days is erased when the account moves to Discovery. When a subscription resumes, the Plan and all Sites are restored; erased history is not.
- Inactive account: a Discovery account is put on standby when, for 45 consecutive days, no Assisted session has taken place on its Sites and no user has signed in to the Console. During standby, the Assistant is no longer displayed and the data is kept; signing in to the Console ends the standby. The Customer is notified by e-mail when standby starts, then every two months, and a last time 15 days before the end of the 6-month period. After 6 months on standby with no renewed activity, the account may be deleted. Partner, pilot and Enterprise accounts are not concerned: their contract applies.
- Either party may terminate in case of a serious breach by the other party, not remedied 15 days after formal notice.
- The Publisher may suspend access in case of unlawful use or use contrary to Article 9, of a fraud or security risk, or of repeated breaches, after informing the Customer, except in an emergency.
The Customer may delete its account from the Console when no subscription is running. Deletion is immediate and irreversible. The Customer may also delete a Site from the Console.
At the end of the contract, the Customer’s data is deleted in accordance with the privacy policy.
Article 9 — Customer obligations and prohibited uses
The Customer undertakes to:
- use the Service in accordance with the law and the Terms;
- hold the rights to the content of its Site and to the content it adds in the Console;
- inform Visitors of the use of the Assistant in its own privacy policy;
- not attempt to circumvent, copy or disrupt the Service.
The Service may not be used, or let be used, to:
- produce or spread unlawful content;
- produce or spread non-consensual sexual content or deepfakes;
- produce or spread hateful content, or harass;
- spread malware;
- disclose other people’s personal data;
- deceive, defraud or send unsolicited messages;
- infringe other people’s intellectual property rights;
- circumvent the protections of the Service or of the artificial intelligence model, probe or attack the Service, or scrape its content.
The Customer is responsible for the content it provides and for the use it makes of the Assistant’s answers. The Publisher may moderate, block or remove a request, an answer or content that breaches the Terms.
Article 10 — Publisher obligations
The Publisher provides the Service diligently and in line with good practice. This is an obligation of means: the Service is not guaranteed to be uninterrupted or error-free. No quantified availability commitment is made, except in an Enterprise contract.
The Publisher may interrupt the Service for maintenance, limiting inconvenience and, where possible, informing the Customer.
Article 11 — Intellectual property
The Service, the Assistant, the Console and their elements remain the property of the Publisher. The Customer receives a non-exclusive right of use for the term of the contract.
The Site content and the content added in the Console remain the property of the Customer. It authorises the Publisher to analyse and reproduce them only to the extent necessary for the Service to operate.
The Assistant’s answers reuse the Site content and the Customer’s content, which the Customer still owns. Anyone who believes content infringes their rights can report it to contact@navage.ai; the Publisher handles it as soon as possible.
Article 12 — Personal data
For its account data, the Customer is informed by the NAVAGE privacy policy.
For Visitor data, the Publisher acts on the Customer’s behalf, under the data processing agreement in the appendix, which is part of the Terms.
The information a Visitor enters in Flow mode is received by the Customer’s Site, through its form; the Publisher does not receive it.
Article 13 — Liability
The Publisher’s liability is limited to direct and foreseeable damage. For the free Discovery Plan, it is excluded to the extent permitted by law.
The Publisher is not liable for indirect damage, in particular loss of revenue, customers or data, nor for the consequences of inaccurate or unlawful Site content.
Nothing in the Terms limits a liability that cannot legally be limited.
Article 14 — Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of the applicable law.
Article 15 — Changes to the Terms
The Publisher may change the Terms. Any substantial change is notified to the Customer at least 30 days before it takes effect. A Customer who refuses it may terminate before that date. The new version is submitted to the Customer’s acceptance at its next sign-in to the Console.
Article 16 — Contact
contact@navage.ai
Appendix — Data processing agreement
This agreement is part of the Terms.
1. Parties and purpose
The Customer, as controller, entrusts the Publisher, as processor, with processing the data of its Site’s Visitors to provide the Service. This agreement sets out the Publisher’s commitments as processor.
2. Description of the processing
- Nature: guidance, redirection and answers to Visitors; step-by-step guidance in Flow mode; forwarding of Visitors’ requests to the Customer’s support tool, when the Customer has activated it; usage statistics.
- Purpose: providing the Service to the Customer.
- Data subjects: Visitors of the Site; and, when pages reachable after sign-in are prepared, the persons whose data is displayed on those pages.
- Data: random session identifier, page viewed, language, assistance level, address parameters declared by the Customer, text typed to the Assistant (kept after automatic masking), statistics tied to the session. For a request to the Customer’s support tool: the Visitor’s e-mail if they give it, forwarded to the Customer’s tool without being kept by the Publisher. During the Preparation: structure and displayed text of the Site’s pages, including, for pages reachable after sign-in prepared with a test account provided by the Customer or through its own browsing, the data the Site displays there. Not the values typed into fields; no screenshots. In Flow mode, the information entered by the Visitor stays in their browser and is sent to the Site through its form: it is not processed on the Publisher’s servers.
- Duration: that of the contract. Texts kept 30 days at most; statistics according to the Plan; Preparation content as long as the Site exists in the Customer’s account.
The Customer chooses what is kept of the texts: everything, only the requests left unanswered, or nothing. It may shorten the retention period below its Plan’s maximum. Visitor texts are in any case erased at the latest 30 days after collection.
3. Publisher commitments
The Publisher:
- processes the data only on the Customer’s documented instructions, the Terms serving as instructions;
- informs the Customer if it considers an instruction contrary to regulations;
- ensures the confidentiality of the persons authorised to process the data;
- implements the security measures described in the privacy policy;
- helps the Customer answer Visitors’ requests to exercise their rights;
- helps the Customer, on request, with its impact assessments and prior consultations.
4. Sub-processors
The Customer authorises the Publisher to use sub-processors for the hosting, e-mail delivery and artificial intelligence model needed for the Service. Processing locations are stated in the privacy policy. The list of sub-processors is provided to the Customer on request. The Publisher informs the Customer of any addition or replacement at least 30 days in advance. The Customer may object on reasonable grounds and, failing agreement, terminate. The Publisher imposes on each sub-processor the same obligations as those of this agreement. The Customer’s support tool is not a sub-processor of the Publisher: it is governed by the contract between the Customer and its provider.
5. Data breach
The Publisher notifies the Customer of any data breach as soon as possible, and at the latest 48 hours after becoming aware of it, with the information available.
6. End of the contract
When the Customer deletes its account or a Site, the corresponding Visitor data is erased immediately. When the account is deleted after a standby for inactivity, it is erased at the same time. For an Enterprise contract, the contract sets the end terms. These rules apply unless a legal retention obligation exists. Backups are erased at the latest 7 days later. On request, the Publisher confirms the deletion in writing.
7. Audit
The Publisher makes available to the Customer the information needed to demonstrate compliance with this agreement. The Customer may have an audit carried out, at its own expense, with reasonable notice and without disrupting the Service.
